These Terms govern your access to and use of the AVINITY platform ("Service"), operated by Avinity Consulting L.L.C. ("AVINITY", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. Subscription and licence
AVINITY grants each subscribed user a limited, non-exclusive, non-transferable licence to access the Service on a per-seat, per-year basis for the duration of a paid subscription or active free trial. Free trials expire 14 days after workspace creation.
2. Customer data
You retain all rights to data your workspace uploads or generates ("Customer Data"). AVINITY processes Customer Data solely to provide the Service, in line with our Privacy Policy and Data Processing Agreement.
3. Acceptable use
You will not (a) reverse-engineer the Service, (b) upload malicious code, (c) attempt to gain unauthorised access to other workspaces, or (d) use the Service for unlawful purposes.
4. Fees, taxes and payments (Merchant of Record)
Subscription fees are billed annually per seat, in advance, in the currency displayed at checkout. All fees are exclusive of applicable taxes, which will be added where required.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries related to billing and handles returns. Payment, invoicing, tax, cancellations and refund mechanics are governed by the Paddle Buyer Terms.
4a. Refunds
We offer a 30-day money-back guarantee. If you are not satisfied, request a full refund within 30 days of your order date via paddle.net or by contacting support@avinityconsulting.com.
5. Termination
Either party may terminate for material breach not cured within 30 days of written notice. On termination, AVINITY will make Customer Data available for export for 30 days, after which it will be deleted from active systems.
6. Warranties and liability
The Service is provided on an "as available" basis. To the maximum extent permitted by law, AVINITY's aggregate liability for any claim arising out of the Service is limited to the fees paid by you in the 12 months preceding the claim.
7. Governing law
These Terms are governed by the laws of the United Arab Emirates.
